You remain solely responsible for the accuracy and authenticity of the information submitted, and acknowledge that any omission, misrepresentation, or concealment of material facts may result in rejection of your request, suspension of your account, denial of Services, or legal consequences under applicable law.
You further agree that we have the right to review, verify, refuse, or remove any content or submission that, in our judgment, violates these Terms or applicable regulations. You understand and accept that any reliance placed on incorrect or misleading information provided by you will be solely at your own risk, and you shall indemnify us against any claims, damages, or liabilities that may arise due to such actions.
All rights, title, and interest in and to the Platform, Services, technology, software, databases, reports, designs, logos, trademarks, and all related content are the sole and exclusive property of ZKY Technologies Private Limited or its licensors. Your use of the Services does not grant you any ownership or intellectual property rights in the Platform or its content.
You agree not to reproduce, copy, modify, distribute, sell, resell, lease, reverse-engineer, or exploit any part of the Services or materials made available through them, except as expressly permitted under these Terms or with our prior written consent. Any unauthorized use of our intellectual property may result in suspension of access, legal action, or both.
Our fees vary based on the Services requested and will be communicated to you in advance. Unless otherwise agreed in writing, invoices are payable within seven (7) days from the date of issue. All fees are exclusive of applicable taxes and are non-refundable. Payments may be made through credit/debit cards, UPI, internet banking, or any other RBI-approved digital mode.
You agree to indemnify, defend, and hold harmless ZKY Technologies Private Limited, its directors, officers, employees, and partners from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms, (b) your misuse of the Services, or (c) any violation of applicable laws or rights of third parties. We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification, and you agree to fully cooperate with us in such defense.
The Services are provided strictly on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of the information or reports generated through the Services. While we use reasonable efforts to obtain data from reliable third-party sources, the final accuracy of such information cannot be guaranteed, and you are advised to exercise independent judgment before making any decisions based on our reports.
We do not guarantee uninterrupted, error-free, or fully secure operation of the Platform. Temporary interruptions, delays, or inaccuracies may occur due to system limitations, third-party dependencies, or regulatory restrictions, and we shall not be held liable for such occurrences.
To the fullest extent permitted by law, ZKY Technologies Private Limited shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of business, profits, data, or goodwill, arising out of or in connection with your use of the Services.
Our maximum aggregate liability, whether arising in contract, tort, negligence, or otherwise, shall not exceed the lower of (a) the actual fees paid by you for the Service giving rise to the claim, or (b) INR 10,000 (Rupees Ten Thousand only).
We may suspend or terminate your access to the Services at any time if you breach these Terms, misuse the Platform, or engage in unlawful activity. Such termination may be immediate and without prior notice. You may also terminate by ceasing use of the Services and notifying us in writing.
Any obligations incurred before termination, including payment of fees, will remain enforceable. Upon termination, your right to access or use the Services will automatically cease, though certain data may be retained as required by law or our Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall fall under the exclusive jurisdiction of the courts located in Chennai.
Wherever possible, we encourage parties to first attempt to resolve disputes amicably through discussion or written communication before pursuing legal remedies.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure or delay by either party to enforce any right or provision under these Terms shall not be considered a waiver of such right.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempt to do so shall be void. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of business assets.
These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and us regarding the Services.
